Terms of Service

Last updated: 31 October 2026

These Terms of Service ("Terms") govern your use of core.blue and GentlePod (each a "Service"), operated by Code Intelligence Labs LLC ("CIL", "we", "us"), a Florida limited liability company.

By ordering or using a Service, you agree to these Terms. If you accept them on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If an AI agent orders or uses a Service on your behalf, you are the customer, and the agent's acts in the Service count as yours.

1. The Services

1.1. core.blue provides houses: private installations of the Atlantis memory software, each on a dedicated virtual machine with its own address, or, for the size on-premise, on your own hardware. Nothing is shared between houses. A house is used by AI agents through the Model Context Protocol; a person uses it through their agent.

1.2. GentlePod provides private, AI-powered workspaces ("Pods"). Each Pod is a dedicated virtual machine with AI agents, e-mail on a Pod-specific domain, web hosting on a Pod-specific subdomain and a web-based user interface.

1.3. Both Services are provisioned automatically after payment. They do not include guaranteed uptime (see section 11), custom development or consulting, data migration from other services, or backups beyond what the Service itself provides.

1.4. What each size, stage and plan includes is stated on our website at the time of your order.

2. Account and eligibility

2.1. You must give accurate information when you order, including an e-mail address or another way for us to reach you. Business customers in the EU may give a VAT ID for reverse-charge invoicing.

2.2. You are responsible for keeping your keys, credentials and access links secure. Access to a core.blue house is granted by its owner's keys; we hold no key of yours.

2.3. GentlePod Pods with several users: the subscriber is responsible for payment, for compliance with these Terms and for all activity of the users it invites; roles and limits are as described in the Service.

2.4. We do not sell to persons in countries under comprehensive US sanctions, or to customers in the countries and territories listed on our website.

3. Prices and payment

3.1. Prices. The prices on our website at the time of your order apply. Prices are net.

3.2. Billing. Subscriptions are billed monthly in advance. A test (core.blue) is charged once. Additional usage (GentlePod token budget, core.blue model service) is billed as stated in the Service.

3.3. Taxes. Tax is added according to your country. If you are a business with a valid EU VAT ID, reverse charge applies where the law provides for it.

4. Payment processing

4.1. Card payments are processed by Stripe on its hosted checkout. We do not receive or store your full card details.

4.2. By paying, you also agree to Stripe's Services Agreement and Privacy Policy as they apply to the processing of your payment.

4.3. Where Stripe sells a Service to you as the seller of record (Stripe Managed Payments), your receipt comes from Link, Stripe's terms for that sale apply to the payment, and these Terms govern your use of the Service.

4.4. Payment in USDC through x402 (core.blue, planned) is made at the prices in US dollars stated in the Service; on this route CIL is the seller.

5. Tests and trials

5.1. core.blue test. A test gives you a house on its own machine for 14 days, for a one-off price by size. It does not renew. If you subscribe before it ends, you keep the same house.

5.2. GentlePod trial. The first month is a paid trial at the regular price, with a fully functional Pod. It continues as a subscription at the regular price unless you cancel before it ends. There is no free trial.

5.3. The free core.blue sandbox (a house for three hours on our own server) is provided as it is, without any commitment, and deleted completely when it ends.

6. Term and cancellation

6.1. There is no minimum term. You may cancel a subscription at any time; it ends at the end of the paid month.

6.2. Refunds and what happens to your data after the end are set out in our Refunds and cancellation policy, which is part of these Terms.

7. Non-payment

7.1. core.blue. A house is paid up to a date. From that date it is read-only; after 30 days it is stopped and kept as an image; after 90 days it is deleted, announced 14 and 3 days in advance. For a test: read-only after 14 days, deleted 30 days later.

7.2. GentlePod. If a payment fails, we notify you and give you 7 days to resolve it. After that we may suspend the Pod. A suspended Pod is kept for 30 days and then deleted with all its data.

8. Your data

8.1. Your data is yours. We claim no ownership of anything you create, store or process in a Service.

8.2. We do not read the content of your house or your Pod in the ordinary course of business. We may access the infrastructure (not content) for security incidents, abuse investigation, maintenance and updates, or with your consent.

8.3. You can export your data while the Service runs and during the periods in section 7.

8.4. Our handling of personal data is described in our Privacy Policy. For EU business customers of GentlePod, our Data Processing Agreement applies.

9. Acceptable use

9.1. You agree not to use a Service to violate any applicable law; infringe the intellectual property of others; distribute malware or conduct cyberattacks; send spam or unsolicited bulk e-mail; store or distribute child sexual abuse material; or knowingly harm our infrastructure or other customers.

9.2. We may suspend or terminate a Service that violates this section, with or without notice depending on severity.

10. Termination by us

We may terminate a Service for non-payment (section 7), for a violation of section 9, or at our discretion with 30 days' written notice.

11. Service level

11.1. The Services are provided on a best-effort basis. We do not guarantee an uptime percentage and do not offer service credits.

11.2. Maintenance may make a Service temporarily unavailable; we try to give reasonable notice.

11.3. Our machines run on Hetzner Cloud, which publishes its own SLA; we pass on no guarantees from our providers.

12. Intellectual property

12.1. The Services, their software and documentation are owned by CIL or its licensors. Your order gives you a limited, non-exclusive, non-transferable right to use the Service for its term. A core.blue licence covers a machine (size, volume, term), not persons or roles.

12.2. You keep all rights to the content you create in a Service.

13. Limitation of liability

13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE OR GOODWILL.

13.2. CIL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO CIL IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

13.3. AI output. AI agents, yours or those in a GentlePod Pod, may produce inaccurate, incomplete or unexpected output, and may change files or settings within your machine. You are responsible for checking what they produce and decide. CIL is not liable for decisions based on AI output or for data loss caused by the actions of AI agents within your machine.

14. Disclaimer of warranties

14.1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

14.2. We do not warrant that a Service will be uninterrupted, error-free or secure.

15. EU consumers

15.1. This section applies to customers in the European Union who are natural persons acting outside their trade, business or profession ("EU Consumers").

15.2. Provision of a Service begins immediately after payment, with the provisioning of a dedicated virtual machine, which incurs actual costs to CIL that cannot be reversed. By ordering, you expressly request that performance begin immediately and acknowledge that you thereby lose your right of withdrawal under the Consumer Rights Directive (2011/83/EU) once performance has begun.

15.3. All other rights you have as a consumer under applicable law remain unaffected.

16. Governing law and disputes

16.1. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Mandatory consumer protection law of your country remains unaffected.

16.2. Informal resolution. Before starting arbitration, you agree to try to resolve the dispute informally by writing to contact@codeclarity.team. We will try to resolve it within 30 days.

16.3. Arbitration. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) or another provider agreed by both sides, in Broward County, Florida, USA. Judgment on the award may be entered in any court of competent jurisdiction.

16.4. No class actions. Any arbitration or court proceeding shall be conducted individually, not as a class, consolidated or representative action.

17. Changes to these Terms

We may change these Terms. Material changes are announced by e-mail, or for core.blue to the agent at sign-in, at least 30 days in advance. Continued use after the effective date counts as acceptance.

18. Miscellaneous

18.1. These Terms, the Refunds and cancellation policy, the Privacy Policy and any applicable data processing agreement are the entire agreement between you and CIL.

18.2. If a provision is unenforceable, the rest remains in effect.

18.3. You may not assign your rights without our consent. We may assign ours in a merger, acquisition or sale of assets.

18.4. Not enforcing a right is not a waiver of it.
